As members of New York State’s early-stage business community, we request your support in passing Assembly Bill A04496/Senate Bill S1667 to repeal the publication requirement imposed upon limited liability companies formed or operating in New York. While there once was a historic purpose to such legislation, 47 states (including the two states our community most directly competes with, California and Massachusetts) recognize that such a requirement is no longer in the public’s interest. By way of example, please note:

The information required to be published is already available online at: http://appsext8.dos.state.ny.us/corp_public/corpsearch.entity_search_entry;
The publications are buried in the rarely read legal notices section of newspapers; and
The New York Law Journal, the single largest beneficiary of the publication requirement, is not so much a paper of “general circulation,” as a publication targeted toward lawyers. Any lawyer or concerned citizen would use the state financed database to determine the status of an LLC, not pore through past copies of the New York Law Journal.

Moreover, the publication requirement is actually against the public interest. For example:

The publication requirement (along with standard corporate filing fees) can cost as much as $2,000 (which is over 10 times the cost of forming or operating an LLC in Delaware ($140.00) and California ($70.00), and 4 times the cost of forming or operating in Massachusetts ($500)). This is a very expensive burden for New York to place on emerging businesses, especially when the requirement has no discernable benefit;
Any person starting a new business would prefer to spend this money more strategically;
The law often leads business owners to select a less suitable business entity, such as a corporation (which is inappropriate for many types of early-stage companies) as an alternative to complying with the publication requirement. It might be noted that the publication requirement actually cuts against the purpose of the New York Limited Liability Company Law which was to create an entity with limited liability, more flexibility, fewer formalities and tax advantages; and
The law often causes business owners to consider forming in a different state, robbing New York of business revenue and jobs.

Why does New York still have a publication requirement? In 2007, approximately 50,000 LLCs were formed in New York (not to mention the number of foreign LLCs qualified in NY during this period). Considering the New York Law Journal alone charges over $700 for publishing a conforming advertisement, we estimate these advertisements generate revenues in excess of $50 million annually for the few newspapers selected to run the ads. We understand the value of this revenue and its importance to New York’s media industry, but we do not believe this money should be taken directly from the youngest and weakest companies in our community by law. This law is not in the public’s best interest.

At a time when unemployment is high, particularly in New York State (approx. 8.8% unemployment) and New York City (in excess of 10% unemployment), and success of early-stage businesses is essential to job creation, we request that you support our community and the creation of new jobs by officially supporting the passage of bill A04496/S1667.
